Staffing Agreement
Terms governing staffing services and placements

1. Parties to the Agreement
This Staffing Agreement ("Agreement") is entered into between CZ-Hire ("we") and the employer ("Client") who subscribes to our platform. This Agreement governs the use of CZ-Hire's staffing services, candidate matching, and placement facilitation.
2. Scope of Services
CZ-Hire provides a technology platform that connects employers with qualified candidates. Services include job posting, candidate matching using Best Match scoring, application management, interview scheduling, messaging, and analytics. We facilitate introductions but are not the employer of candidates placed through the platform.
3. Fees and Payment Terms
Clients subscribe to one of three plans: Standard ($30/month), Professional ($60/month), or Premium ($100/month). Fees are billed monthly in advance through a third-party payment processor. Late payments may result in service suspension. All fees are exclusive of applicable taxes.
4. Client Obligations
The Client agrees to provide accurate job descriptions, respond to candidates promptly, conduct fair and non-discriminatory hiring, comply with all labor and employment laws, maintain confidentiality of candidate information, and use the platform solely for legitimate staffing purposes.
5. Candidate Screening and Background Checks
Candidates may consent to background checks and drug testing through their profile settings. CZ-Hire facilitates these screenings through third-party providers. The Client is responsible for reviewing screening results and making independent hiring decisions. CZ-Hire does not guarantee the accuracy of third-party screening results.
6. Placement and Hiring
When a Client hires a candidate found through CZ-Hire, the Client becomes the employer of record. CZ-Hire is not liable for the candidate's performance, conduct, or suitability. The Client assumes all employer responsibilities including wages, benefits, taxes, and workers' compensation.
7. Confidentiality and Data Protection
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared through the platform. Candidate data shall only be used for legitimate hiring purposes. CZ-Hire complies with all applicable data protection regulations, as outlined in our Privacy Policy.
8. Warranties and Disclaimers
CZ-Hire warrants that the platform will perform substantially as described. We do not warrant that candidates will be available for every position, that placements will be successful, or that the platform will be error-free. CZ-Hire is not responsible for the quality of candidates' work or employer-employee relationships.
9. Indemnification
The Client agrees to indemnify and hold CZ-Hire harmless from claims arising from the Client's hiring decisions, workplace conduct, failure to comply with labor laws, breach of this Agreement, or misuse of candidate information. CZ-Hire shall indemnify the Client for claims arising from CZ-Hire's gross negligence or willful misconduct.
10. Term and Termination
This Agreement is effective upon subscription activation and continues until terminated. Either party may terminate with 30 days' written notice. Upon termination, the Client loses access to the platform and candidate data. Accrued obligations survive termination.
11. Limitation of Liability
CZ-Hire's total liability shall not exceed the fees paid by the Client in the preceding 3 months. We are not liable for indirect, consequential, or punitive damages, lost profits, or hiring-related losses.
12. Regulatory Compliance
CZ-Hire operates in compliance with applicable employment platform regulations, equal employment opportunity laws, and data protection requirements. The Client is responsible for compliance with all local, state, and federal employment laws in their jurisdiction.
